HazTrack Inc. Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, websites, software applications, and hardware products (collectively, the "Services") provided by HazTrack Inc. ("HazTrack", "we", "us", or "our").
By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these terms.
1. Enterprise Agreements
If your organization has entered into a separate Master Service Agreement (MSA), Equipment Lease Agreement, or Equipment Purchase Agreement with HazTrack, the terms of that specific written agreement shall supersede these general Terms of Service in the event of any conflict.
2. Description of Services
HazTrack provides integrated hardware, cellular connectivity services, and a software dashboard for data monitoring. The specific scope of your Services is defined in your applicable order form or purchase order.
3. Account Registration and Security
You are responsible for safeguarding the password and credentials that you use to access the Services. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
4. Intellectual Property Rights
HazTrack retains all intellectual property rights in the HazTrack system, including all hardware designs, firmware, software dashboards, and related documentation. You are granted a limited, non-exclusive, non-transferable license to use the software dashboard solely for your internal business operations. You may not attempt to reverse engineer, decompile, or copy the hardware designs, firmware, or software, nor remove any proprietary notices.
5. Data Ownership and Privacy
You retain all ownership rights to the data you input into or transmit via the Services ("Customer Data"). You grant HazTrack a non-exclusive, worldwide license to copy, store, transmit, and display Customer Data solely to provide the Services. HazTrack may use aggregated and anonymized data for analytics and product improvement, provided such data does not identify you. HazTrack processes data in compliance with applicable privacy and data protection laws, including Quebec Law 25 and, where applicable, the General Data Protection Regulation (GDPR).
6. Warranties and Disclaimers
Except as expressly stated in a separate written agreement, the Services and hardware are provided "AS IS". HazTrack disclaims all implied warranties, including without limitation warranties of merchantability and fitness for a particular purpose.
Our connectivity services utilize third-party cellular networks. HazTrack cannot guarantee the uptime or reliability of networks controlled by third-party providers, and will not be liable for any interruptions or lapses in Service caused by third-party cellular outages.
7. Limitation of Liability
In no event shall HazTrack be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits or data, arising out of or related to these Terms or your use of the Services. HazTrack’s total cumulative liability to you shall be limited to the maximum extent permitted by applicable law, and in no event shall exceed the fees paid by you to HazTrack in the six (6) months preceding the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless HazTrack and its officers, directors, employees, and contractors against any third-party claims, losses, or expenses arising from your misuse of the Services, your breach of these Terms, or your violation of any third-party rights.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be resolved by binding arbitration in Calgary, Alberta, following a 30-day good faith negotiation period.
10. Modifications
We reserve the right to modify or replace these Terms at any time. We will provide reasonable notice of any material changes. By continuing to access or use the Services after revisions become effective, you agree to be bound by the revised terms.
